1. Acceptance of Terms

These Terms and Conditions are an agreement between you and TradeDupe (“TradeDupe,” “we,” or “us”).

By accessing or using TradeDupe, you agree to these Terms and Conditions. If you do not agree, do not use the platform.

These Terms incorporate by reference our Privacy Policy, our Refund Policy, and — if you participate in our affiliate program — our Affiliate Program Terms. Together these documents form the entire agreement between you and TradeDupe regarding the platform, and supersede any prior agreements or understandings on the same subject.

2. Eligibility and Accounts

You must be at least 18 years of age to use TradeDupe. By creating an account, you represent that you meet this requirement and that your use of the platform complies with all applicable laws and regulations in your jurisdiction. Some jurisdictions may restrict or regulate copy trading activity — it is your sole responsibility to determine whether your use of TradeDupe is lawful where you reside.

You are responsible for account security and all activity under your account. You must provide accurate information and keep your account details current, including a working email address, since that is where we send account notices.

3. License and Platform Use

Subject to your compliance with these Terms and payment of applicable fees, TradeDupe grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the platform for your own personal or internal business trading purposes. This license covers the web application and any desktop or companion application we make available to you.

You agree not to misuse the service, reverse engineer the platform, attempt unauthorized access, resell or provide the service to third parties, use automated means to scrape or extract data from the platform, or violate applicable laws and regulations.

Changes to the service. TradeDupe may add, modify, suspend, or discontinue any feature of the platform at any time. Some features may be offered on a beta, early-access, or experimental basis; these are provided without any warranty or support commitment and may be changed or withdrawn without notice.

4. Trading Risk Disclosure

Trading futures and other financial instruments involves substantial risk of loss and is not suitable for all individuals. You may lose more than your initial investment. Past performance of any leader account does not guarantee future results.

TradeDupe is a software tool that facilitates copy trading. It does not provide financial advice, investment recommendations, or performance guarantees. You acknowledge that:

  • Execution of copied trades may be delayed, resulting in different fill prices (slippage) between the leader and follower accounts.
  • There is no guarantee that follower trades will receive identical fills, quantities, or outcomes as leader trades.
  • Differences in account size, margin, buying power, and allowed contracts between leader and follower accounts may affect trade execution and results.
  • Orders may be partially filled or rejected by the brokerage for reasons outside TradeDupe's control.
  • High-impact news releases, economic data events, and other volatile market conditions can materially increase slippage, price gaps, partial fills, rejected orders, and execution differences between leader and follower accounts. Copy trading during high-impact or highly volatile news events is not recommended.
  • You are solely responsible for all trading activity on your connected brokerage accounts.

You acknowledge and agree that TradeDupe does not guarantee any special protection, delay prevention, fill quality, or loss avoidance during high-impact news events or other periods of extreme market volatility. You are responsible for disabling copy trading or reducing exposure when market conditions are unsuitable for your risk tolerance.

Execution responsibility. TradeDupe provides the software that mirrors trades, but all trading activity ultimately occurs through your broker and your own environment. Traders are responsible for confirming that connections are active, verifying that trades are replicating as expected, and monitoring their accounts. TradeDupe is not liable for losses resulting from a broker outage, a disconnected or expired credential, a misconfigured follower account, or any failure on your part to monitor your accounts.

5. Risk Management Tools

TradeDupe may offer optional risk management features, including daily loss limits, drawdown limits, position caps, and trading lockouts. These features are provided as a convenience and operate on a best-effort basis using data received from your broker.

You acknowledge that these tools are enforced by TradeDupe's software, not by your broker or exchange, and that they may fail to trigger or may trigger late in the event of a data feed interruption, broker outage, connectivity loss, stale or incorrect broker data, or extreme market conditions. They are not a substitute for broker-side or exchange-side risk controls, and they do not guarantee that any loss threshold will be respected. You remain solely responsible for your own risk management, including maintaining appropriate broker-level protections.

6. Prop Firm and Funded Account Compliance

Many proprietary trading firms and funded account programs impose rules that restrict or prohibit copy trading, trade duplication, mirroring between accounts, or trading that is coordinated with accounts belonging to other individuals. These rules vary by firm, change without notice, and are enforced solely by the firm.

You are solely responsible for reading, understanding, and complying with the rules of any prop firm, funded account program, evaluation, or broker you use with TradeDupe. TradeDupe does not monitor, interpret, verify, or certify compliance with any firm's rules, and nothing on this platform — including marketing pages, comparison pages, or feature descriptions that reference a specific firm — constitutes a representation that copy trading is permitted by that firm or that your use of TradeDupe will comply with its rules.

TradeDupe is not liable for any consequence imposed by a prop firm, funded account provider, or broker, including but not limited to a failed evaluation, a forfeited or reversed payout, a denied withdrawal, account suspension or closure, forfeiture of fees paid to that firm, or being barred from future participation.

7. Regulatory Disclaimer

TradeDupe is not a broker-dealer, registered investment advisor, commodity trading advisor, or futures commission merchant. TradeDupe is not registered with or regulated by the Securities and Exchange Commission (SEC), Commodity Futures Trading Commission (CFTC), National Futures Association (NFA), or any other financial regulatory authority. Nothing on this platform constitutes a solicitation, recommendation, or offer to buy or sell any financial instrument.

You direct your own trading. You — and not TradeDupe — designate which of your connected accounts acts as the leader and which of your accounts follow it. TradeDupe does not choose, recommend, rank, endorse, or solicit any trader, account, or strategy for you to copy. You configure all copy trading parameters, including which symbols are copied, position sizing, and which accounts participate, and you may pause or disable copy trading at any time from your dashboard. TradeDupe exercises no discretion over your trading decisions.

Any performance statistics, leaderboards, or trader profiles displayed on the platform are provided for informational purposes only and do not constitute a recommendation, endorsement, rating, or solicitation by TradeDupe to copy any trader or to enter into any transaction. TradeDupe does not independently audit, verify, or validate performance data displayed on the platform. Such data is derived from broker-reported activity, may be incomplete or inaccurate, may exclude fees, commissions, or unrealized positions, and should not be relied upon as a representation of any trader's actual results.

8. Credential Storage and Authorization

To enable copy trading and account monitoring, TradeDupe requires access to your brokerage account. Depending on how you connect, this may involve your brokerage username and password, or authorization tokens issued to TradeDupe by your broker through an OAuth or similar delegated-access flow. By connecting an account, you expressly authorize TradeDupe to:

  • Store your credentials and any access or refresh tokens issued by your broker in encrypted form using AES-256-GCM encryption.
  • Use those credentials or tokens to connect to your brokerage account, monitor accounts, positions, and orders, and place, modify, or cancel orders on your behalf as part of the copy trading functionality.
  • Refresh, renew, or re-authenticate those tokens automatically so that copy trading can continue without repeated manual sign-in.

Where your broker supports it, you may revoke TradeDupe's access at any time from your broker's own settings. You may also remove a connection from your TradeDupe dashboard at any time, which deletes the associated stored credentials and tokens. Revoking access stops future copy trading on that account but does not close, modify, or liquidate any position that is already open — managing existing positions remains your responsibility.

TradeDupe uses commercially reasonable security measures to protect your stored credentials. However, you acknowledge that no system is completely secure. TradeDupe is not responsible for unauthorized access to your brokerage account resulting from compromise of your TradeDupe account credentials, phishing, or other security events outside TradeDupe's reasonable control. You are responsible for maintaining the security of your TradeDupe login credentials.

9. Public Profiles and User Content

TradeDupe offers optional public trader profiles and may offer other features that display information you choose to share, such as a display name, handle, avatar, and aggregated trading statistics. Public profiles are off by default, and you control which statistics are displayed. You may disable your public profile at any time from your dashboard.

You keep ownership of anything you share. Enabling a public profile gives us permission to display it on the platform, and that permission ends when you turn the profile off.

Don't publish anything unlawful or misleading, and don't make guarantees or earnings claims to other users. We may remove content or disable a public profile that breaks these Terms. Once information has been public, we can't remove copies that others already cached or saved.

10. Third-Party Services

TradeDupe integrates with third-party services including, but not limited to, Tradovate (brokerage), Stripe (payment processing), and other infrastructure providers. TradeDupe is not responsible for the availability, accuracy, or performance of these third-party services. Outages, API changes, order rejections, or failures by third-party providers are outside TradeDupe's control, and TradeDupe shall not be liable for any losses or disruptions arising from such events.

11. Payments, Trials, and Billing

Subscriptions renew automatically. Paid plans are billed in advance on a recurring basis according to the plan and billing interval you select (monthly or yearly). By subscribing, you authorize TradeDupe to charge your payment method the then-current subscription fee at the start of each billing period, automatically and without further notice, until you cancel. Your subscription continues until cancelled.

Free trials. Where offered, a free trial gives you access to a paid plan for a limited period at no charge. A valid payment method is required to start a trial. Unless you cancel before the trial ends, your subscription will convert automatically to a paid subscription and your payment method will be charged the applicable fee. The trial length and the date of your first charge are disclosed at checkout before you confirm.

Trial eligibility. Free trials are limited to one per person, household, account, and payment method. TradeDupe may determine trial eligibility at its discretion and may decline, shorten, or revoke a trial — including converting the subscription to immediate paid billing or cancelling it — where we reasonably believe a trial is being claimed more than once. To detect this, TradeDupe may record and compare identifiers such as email address and normalized variants, IP address and approximate location, browser or device fingerprints, payment card fingerprints, and brokerage account identifiers, as described in our Privacy Policy. Creating multiple accounts to obtain additional trials is a material breach of these Terms.

Cancellation. You may cancel at any time from your dashboard. Cancellation takes effect at the end of the current billing period; you keep access until then, and no further charges are made afterward.

Price changes. TradeDupe may change subscription prices. We will give you at least 30 days' notice by email before a price change takes effect for your subscription. The new price applies to billing periods beginning after the notice period. If you do not agree, you may cancel before the change takes effect; continuing your subscription after that date constitutes acceptance of the new price.

Taxes. Fees are exclusive of taxes. You are responsible for any sales, use, value-added, or similar taxes applicable to your subscription, other than taxes based on TradeDupe's net income. Where required, such taxes will be added to your charge.

Failed payments. If a charge fails, TradeDupe (through its payment processor) may retry the payment over a period of days and will notify you. Your access to paid features may be limited or suspended while your account is past due, and the subscription may be cancelled if payment is not resolved. You remain responsible for amounts properly owed for periods in which the service was provided.

Refunds are governed by our Refund Policy, which forms part of these Terms. In summary, you may request a full refund of your initial subscription purchase within 24 hours; outside of that window fees are non-refundable unless required by law or expressly provided in that policy.

12. Communications

We send account, security, billing, and copy trading notifications while your account is active. Marketing emails are separate and you can unsubscribe from those at any time.

If you set up optional alerts, such as email or Discord notifications, delivery is best-effort and may be delayed or fail. Alerts are not a substitute for monitoring your accounts.

13. Affiliate Program

TradeDupe operates an optional affiliate program. Participation is governed by the Affiliate Program Terms, which form part of these Terms for participants. In the event of a conflict between these Terms and the Affiliate Program Terms with respect to affiliate participation, the Affiliate Program Terms govern.

14. Disclaimer of Warranties

TradeDupe is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. TradeDupe does not warrant that the platform will be uninterrupted, error-free, secure, or free of harmful components, or that trade executions will be timely, accurate, or successful.

TradeDupe does not offer a service level agreement or uptime guarantee. The platform may be unavailable for scheduled maintenance, emergency maintenance, or reasons outside our control. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

15. Limitation of Liability

To the maximum extent permitted by law, TradeDupe and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to trading losses, loss of profits, loss of data, or business interruption, arising out of or related to your use of or inability to use the platform, regardless of the theory of liability.

In no event shall TradeDupe's total aggregate liability exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid to TradeDupe in the one (1) month preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for fraud, fraudulent misrepresentation, gross negligence, willful misconduct, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited. Where applicable law does not permit the exclusions or limitations above, TradeDupe's liability is limited to the minimum extent permitted by that law.

16. Indemnification

You agree to indemnify, defend, and hold harmless TradeDupe and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the platform; (b) your trading activity on connected brokerage accounts; (c) your violation of these Terms; (d) your violation of any applicable law or regulation; or (e) your violation of the rules of any prop firm, funded account program, or broker.

17. Termination and Suspension

TradeDupe reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that TradeDupe believes violates these Terms, is harmful to other users, or is otherwise objectionable. Upon termination, your right to use the platform ceases immediately. TradeDupe is not responsible for managing, closing, or liquidating any open positions on your brokerage accounts upon termination. Your stored brokerage credentials will be deleted upon account termination.

You may close your account at any time. Closing your account does not entitle you to a refund except as provided in the Refund Policy, and does not close or modify positions held at your broker.

Chargebacks and payment disputes. If you initiate a chargeback, payment dispute, or reversal with your bank or card issuer for a charge authorized by you (including any charge for which you received the service or acknowledged billing), TradeDupe reserves the right to immediately and permanently terminate your account without refund and bar you from creating new accounts or subscriptions on the platform. To enforce this, TradeDupe may record and block any combination of identifiers associated with the disputing account, including but not limited to: email address (and canonical/normalized variants), IP addresses, browser or device fingerprints, payment card fingerprints, and Stripe customer identifiers. Evading or attempting to evade this restriction — for example by creating a new account with a different email, using a VPN, or switching devices — is a material breach of these Terms.

This provision does not apply to a good-faith dispute of a charge you did not authorize, such as a charge resulting from fraud or unauthorized use of your payment method, and nothing in these Terms limits any right you have under applicable law or your card network's rules to dispute an unauthorized transaction. If you believe a charge is in error, contact support@tradedupe.com before filing a dispute; we will work with you in good faith to resolve billing issues.

18. Intellectual Property

All content, features, and functionality of TradeDupe — including but not limited to text, graphics, logos, software, and code — are the exclusive property of TradeDupe and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, reverse engineer, decompile, or create derivative works based on the platform without prior written consent.

If you send us suggestions or feature requests, we can build them into the platform without owing you anything for them.

19. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Informal resolution first. Before filing a claim, you agree to try to resolve the dispute informally by contacting support@tradedupe.com with a description of the dispute and the relief you seek. If the dispute is not resolved within 30 days of that notice, either party may proceed to arbitration.

Binding arbitration. Any dispute arising out of or relating to these Terms or your use of TradeDupe shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA). Arbitration shall take place in Florida, or by telephone or video conference at your election, and the arbitrator's decision shall be final and binding. The arbitrator has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability, or formation of this arbitration agreement, including whether any claim is subject to arbitration. Payment of arbitration fees is governed by the AAA rules, including its consumer rules where applicable.

Exceptions. Either party may bring an individual claim in small claims court if it qualifies, and either party may seek injunctive or other equitable relief in court to protect its intellectual property or to prevent unauthorized access to the platform.

Class action waiver. You agree that any dispute resolution proceedings will be conducted on an individual basis and not as a class action, consolidated action, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration against TradeDupe. If 25 or more claimants file substantially similar demands for arbitration represented by the same or coordinated counsel, the parties agree those demands shall be administered in staged batches of no more than 50, with the AAA appointing a single arbitrator per batch, and any applicable limitations periods tolled for claims awaiting a later batch. If this class action waiver is found unenforceable as to a particular claim, that claim shall proceed in court and the remainder of this section shall remain in effect.

Right to opt out of arbitration. You may reject this arbitration agreement and class action waiver by sending written notice to support@tradedupe.com within 30 days of first accepting these Terms, stating your name, the email on your account, and that you opt out of arbitration. Opting out affects no other part of these Terms and will not affect your use of the platform.

20. General

You may not transfer your account or these Terms to someone else without our written consent. We may transfer them if the business is sold or reorganized.

If any part of these Terms turns out to be unenforceable, the rest still applies. The sections covering trading risk, disclaimers, limitation of liability, and dispute resolution continue to apply after your account closes.

21. Changes to Terms

We may update these terms from time to time. Each version carries an effective date and version identifier shown at the top of this page. If we make material changes, we will notify you by email or through the platform at least 30 days before they take effect, except where a change must take effect sooner to comply with law or to address a security risk. We may also ask you to affirmatively accept the updated terms in the platform, and we keep a record of the version you accepted.

Continued use of TradeDupe after changes take effect constitutes acceptance of the updated terms. If you do not agree to the updated terms, you should stop using the platform and cancel your subscription before they take effect.
